The website located at avici.money (the "Site"), the Avici mobile application, and all related Avici services are operated by Avici Inc. ("Company", "we", "our", or "us"). These Terms of Use ("Terms") are a legally binding agreement between you and us. By accessing or using any part of our Site or services, including paid features such as Avici cards, Credit Mode, Avici Grow, Privacy Send, or Avici Biz, you agree to these Terms.

1. Introduction

Avici provides self-custody smart contract wallets on Solana and on EVM-compatible networks. Our EVM smart wallet infrastructure is powered by ZeroDev. You control your keys and are solely responsible for all actions taken through your wallets. Through our Site and app we also provide access to:

• Visa cards issued via our card partner Rain

• Fiat onramp and offramp services via Moonpay and Bridge

• Avici Grow, a yield product that routes user-initiated deposits into third-party DeFi protocols

• Credit Mode (also referred to as Credit Lines), a borrowing feature powered by third-party DeFi lending protocols including Jupiter Lend and Fluid, with additional integrations added over time

• Privacy Send, a privacy-preserving transfer feature

• Avici Biz, a business account product

• xStocks, tokenized equity products offered through a third-party provider, subject to geographic restrictions (see the xStocks section below)

• Privates, tokenized exposures to private companies offered through a third-party provider, subject to geographic restrictions (see the Privates section below)

• Trading features routed through decentralized exchanges and aggregators

Avici never custodies your funds or your private keys.

2. Eligibility, Consent, and KYC

By using our services, you represent that:

• You are of legal age and have the legal authority to accept these Terms

• You agree to be bound by them

• You are not located in, or a resident of, any jurisdiction where your use of our services would be prohibited by applicable law or sanctions

Access to certain services, including but not limited to Avici cards, account services, fiat onramp, and fiat offramp, requires you to complete identity verification ("KYC"). By requesting access to these services, you consent to:

• Submitting personal information and identity documents to us and our verification partners

• Sanctions, watchlist, and fraud screening

• Ongoing monitoring of activity for compliance and risk purposes

We may decline, restrict, suspend, or pause access to any account or service at our discretion, including where required for compliance, fraud prevention, security, regulatory, or risk reasons. Pausing or restricting an account may prevent transactions including card spending, onramp, offramp, borrowing, or yield activity.

If you do not agree to these Terms or do not wish to complete KYC where required, you may not use the affected services.

3. Avici Cards

Avici offers Visa cards in multiple tiers and in virtual and physical form factors. Card features, fees, rewards, and availability may change at our discretion and without prior notice. You are responsible for checking our app or website for updates.

All card purchases and fees are final and non-refundable except where required by law.

By using an Avici card, you also agree to:

• The terms of our card issuer and BIN sponsor partner

4. Credit Mode (Credit Lines)

Credit Mode lets you borrow against assets you hold in your self-custody wallet. Avici does not lend to you. Loans are originated and serviced by third-party DeFi protocols, currently including Jupiter Lend and Fluid, with additional integrations added over time. Avici acts as an interface to these protocols.

By using Credit Mode you understand and accept that:

• Borrowing involves the risk of liquidation if the value of your collateral falls below required thresholds

• Interest rates, borrow rates, supply rates, and net APY may change at any time based on protocol conditions

• Smart contracts may contain bugs, may be exploited, or may behave unexpectedly

• Oracle prices, network congestion, and validator behavior on Solana may affect the timing or outcome of liquidations

• You are solely responsible for monitoring your positions and managing your own risk

• Avici is not a lender, broker, or financial advisor, and does not control the underlying lending protocols

5. Avici Grow

Avici Grow allows you to allocate funds, at your direction, into third-party DeFi protocols in order to earn yield. Avici does not custody these funds or pool them with other users' funds.

By using Avici Grow you understand and accept that:

• Yields are variable, not guaranteed, and may change or fall to zero at any time

• Underlying protocols may experience smart contract failures, exploits, depegs, or insolvency

• Stablecoins, tokens, and other assets used in Grow strategies are subject to market, liquidity, and counterparty risk

• Past performance does not predict future results

• Avici does not guarantee the return of principal

6. xStocks

xStocks are tokenized equity products provided through a third-party issuer and governed by the issuer's own legal documentation, which forms part of your agreement when you access the product.

Geographic restrictions. xStocks are not available to US persons or within the United States, and are currently restricted in Canada, the United Kingdom, and Australia. These restrictions may be updated from time to time. You are responsible for ensuring that your access to and use of xStocks is lawful in your jurisdiction, and you represent that you are not located in, or a resident or citizen of, any restricted jurisdiction when you access the product.

By using xStocks you understand and accept that:

• xStocks are subject to market, liquidity, issuer, custodian, and smart contract risk

• Prices of xStocks may diverge from the prices of the underlying reference assets

• Avici is not the issuer of xStocks and does not provide investment advice, recommendations, or brokerage services

• Avici is not liable for losses arising from your use of xStocks or from the acts or omissions of the xStocks issuer or its service providers

7. Privates

Privates are tokenized exposures to private companies provided through a third-party issuer and governed by the issuer's own legal documentation, which forms part of your agreement when you access the product.

Geographic restrictions. Privates are not available to US persons or within the United States, and may be restricted in additional jurisdictions. These restrictions may be updated from time to time. You are responsible for ensuring that your access to and use of Privates is lawful in your jurisdiction, and you represent that you are not located in, or a resident or citizen of, any restricted jurisdiction when you access the product.

By using Privates you understand and accept that:

• Privates provide only economic exposure to private companies and confer no ownership, voting, dividend, information, or other legal rights in the referenced companies

• Privates are subject to market, liquidity, issuer, custodian, SPV, and smart contract risk

• Privates have no guaranteed secondary-market liquidity and may result in total loss

• Prices of Privates may diverge from the valuations of the underlying private companies

• Privates are not affiliated with, endorsed by, or issued by the referenced companies

• Avici is not the issuer of Privates and does not provide investment advice, recommendations, or brokerage services

• Avici is not liable for losses arising from your use of Privates or from the acts or omissions of the Privates issuer or its service providers

8. Private Send and Avici Biz

Private Send and Avici Biz are made available subject to these Terms and any additional product-specific terms presented in-app. You are responsible for ensuring your use of these features complies with all laws applicable to you, including tax, reporting, and sanctions laws. You agree not to use any Avici product to facilitate illegal activity.

9. Account Creation and Responsibilities

Some features require you to create an account. You must:

• Provide truthful and current information

• Keep your credentials and recovery materials secure

• Notify us promptly of any suspected breach or unauthorized use

We reserve the right to suspend, pause, or terminate accounts at our discretion, including for the reasons set out in Section 2.

10. Self-Custody Disclaimer and Financial Risk

Avici is a non-custodial platform. You control your wallet and your assets at all times. We are not liable for:

• Loss of access to your wallet, keys, or recovery materials

• Unauthorized transactions initiated through your wallet

• Network outages, congestion, or chain reorganizations

• Errors, bugs, or unexpected behavior in smart contracts, including those of third-party DeFi protocols integrated through Credit Mode, Avici Grow, or trading features

• Any financial loss of any kind, including losses arising from market movements, liquidations, slippage, depegs, exploits, protocol failures, or third-party service failures

You assume full risk and responsibility for your assets and for your use of our services.

11. Taxes

You are solely responsible for determining, reporting, and paying any taxes that apply to your use of our services, including taxes on card rewards, yield earned through Avici Grow, gains or losses from trading or borrowing activity, and any other transactions you conduct.

Avici does not provide tax advice. We do not file tax returns or forms on your behalf and we do not generally provide consolidated tax statements. You should consult a qualified tax professional for your individual circumstances.

12. Data We Collect

In addition to information collected as part of KYC, we collect technical information necessary to operate and secure our services, including your IP address, device identifiers, app and Site usage data, and similar telemetry. We use this information for security, fraud prevention, compliance, analytics, and service improvement. Our handling of personal data is described in more detail in our Privacy Policy.

13. Acceptable Use

You agree not to:

• Violate any applicable law, regulation, or sanction

• Infringe intellectual property or proprietary rights

• Distribute malware, spam, or other harmful content

• Interfere with or disrupt the Site, app, or services

• Reverse engineer, scrape, or extract data from our systems

• Create fake, automated, or unauthorized accounts

• Use the services to facilitate money laundering, terrorist financing, fraud, or sanctions evasion

Violations may result in account suspension or termination and may be reported to relevant authorities.

14. User Content and License

If you submit content to our platform, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute it as needed to operate the service. You retain ownership of your content. You must not upload illegal, offensive, or infringing material.

15. Third-Party Services

We integrate with third parties whose services are governed by their own terms, including:

• Rain (card issuance and BIN sponsorship)

• Moonpay (fiat onramp and offramp)

• Bridge (fiat onramp and offramp)

• Jupiter Lend, Fluid, and other DeFi protocols (lending and yield)

• PreStocks (data feeds and APIs for Privates)

• Decentralized exchanges and aggregators (trading)

We may add, remove, or replace third-party providers at any time. We are not liable for the acts, omissions, outages, policies, fees, or data handling practices of third-party providers.

16. Disclaimers

The services are provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant:

• Continuous, uninterrupted, or error-free access

• Profit, performance, or any specific outcome from any wallet, card, borrowing, yield, or trading activity

• The continued availability of any specific feature, integration, or third-party partner

• The security, solvency, or performance of any third-party protocol or service

Some jurisdictions do not allow the disclaimer of implied warranties, in which case some of the above disclaimers may not apply to you.

17. Limitation of Liability

To the maximum extent permitted by law, Avici will not be liable for:

• Indirect, incidental, special, consequential, or punitive damages

• Loss of data, assets, profits, yield, or business opportunity

• Service outages, user errors, or losses caused by third-party providers or DeFi protocols

• Any financial loss arising out of or related to your use of our services

Our aggregate liability to you for any claim arising out of or related to these Terms or our services is capped at fifty US dollars ($50).

18. Governing Law, Dispute Resolution, and Arbitration

These Terms and any dispute arising out of or relating to these Terms or your use of our services are governed by the laws of the State of Delaware, without regard to its conflict of laws rules, and by applicable US federal law.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of our services shall be resolved by binding individual arbitration administered in Wilmington, Delaware, under the then-current rules of the American Arbitration Association. Any court proceeding permitted under these Terms (including to compel arbitration or enforce an award) shall be brought in the state or federal courts located in Delaware. You waive:

• Class action rights

• Jury trial rights

You have 30 days from accepting these Terms to opt out of arbitration by writing to help@avici.club.

19. Copyright Policy (DMCA)

We comply with the DMCA. If you believe content infringes your copyright, contact us at help@avici.club with proof and details.

20. Termination

We may terminate, restrict, or pause your use of the Site or services at our discretion, including for violation of these Terms or for compliance, fraud, or risk reasons.

21. Changes

We may modify these Terms at any time. Continued use of the services after changes take effect means you accept the updated Terms.
